These Terms of Service ("Terms") govern your use of the NotePal service ("Service") provided by NotePal Inc. ("Company," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Service.
The Service is a cloud-based note-taking application that allows users to create, store, and organize notes. Core note-taking features are free. Optional Image Storage (paid via PayPal or Alipay on our website) adds cloud image hosting for use in cloud notes. See Section 6 if you purchase Image Storage.
By accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
We may modify these Terms at any time. We will notify users of any material changes by posting the updated Terms on our website. Your continued use of the Service after such changes constitutes acceptance of the new Terms.
NotePal provides a web-based note-taking platform with the following features:
The Service is provided "as is" and we reserve the right to modify, suspend, or discontinue any aspect of the Service at any time.
You may use the Service without creating an account (local mode) or create a free account to access cloud features. When creating an account, you must provide accurate and complete information.
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.
You may not share your account credentials with others or allow others to access your account. Each user should have their own account.
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:
This section applies when you buy NotePal Image Storage on our Image Storage page while signed in. Checkout is processed by PayPal (USD) or Alipay (CNY), depending on the payment method you select. If anything conflicts regarding Image Storage purchases, this Section 6 controls for purchase and delivery.
You pay NotePal (the seller). PayPal and Alipay process payment on our behalf but are not the sellers of Image Storage. For product questions, delivery, or refund requests, contact us under Section 13.
Image Storage is a digital add-on separate from free note-taking. All paid tiers include the same quota:
Plans differ only by how long upload access stays active after purchase. The same tiers are offered in two currencies:

Each purchase is one-time for the listed period. It is not a recurring subscription and will not auto-renew on NotePal. You choose one payment channel per checkout; we do not convert between USD and CNY balances. Current pricing and availability: Image Storage.

Delivery is digital. If activation does not complete, wait a few minutes and refresh your storage status, or email us with your order reference (PayPal order ID or Alipay merchant order number shown at checkout) and your NotePal account email. Each successful payment is fulfilled once on the account that created the checkout. Multiple purchases may extend your active period according to our stacking rules at the time of purchase.
Card disputes and payment-processor refunds may need to go through PayPal, Alipay, or your bank under their respective policies.

To request help, email [email protected] within 14 days of purchase with your payment reference (PayPal order ID or Alipay merchant order number). We typically respond within 5 business days. There is no subscription to cancel; access ends when your plan period expires unless you purchase another plan.
Your cloud notes and text are not deleted when Image Storage expires. You cannot upload new images until you purchase a new plan. Images already embedded in notes may continue to display while the files remain hosted. Manage usage from Image Storage in the NotePal user menu.
You may upload only content you have the right to use. We may suspend upload access or remove images that violate Section 5 or applicable law. Uploaded images are stored on our infrastructure (e.g. Cloudflare R2) and linked to your account. Order-related data (payment channel, order and transaction identifiers, payer email or Alipay logon ID when provided) is used to provide the service; see our Privacy Policy. PayPal and Alipay each have their own privacy policies for payment data at checkout.
Purchasing Image Storage does not grant commercial resale rights to NotePal's software or branding. Your rights in images you upload remain yours, subject to these Terms.
You retain ownership of all content you create using the Service. You grant us a limited license to store, process, and display your content solely for the purpose of providing the Service to you.
The Service, including its software, design, and content, is owned by NotePal Inc. and is protected by intellectual property laws. You may not copy, modify, or distribute any part of the Service without our written permission.
Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.
In local mode, your notes are stored only in your browser and are not transmitted to our servers. In cloud mode, your notes are encrypted and stored securely on our servers.
We implement appropriate technical and organizational measures to protect your data against unauthorized access, alteration, disclosure, or destruction.
We strive to provide reliable and continuous service, but we do not guarantee that the Service will be available at all times. The Service may be temporarily unavailable due to maintenance, updates, or other factors beyond our control.
We are not liable for any damages or losses resulting from the unavailability of the Service.
To the maximum extent permitted by law, NotePal Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or use.
Our total liability to you for any claims arising from the use of the Service shall not exceed the amount you paid to us for the Service (including Image Storage purchases) in the twelve months preceding the claim, or $100, whichever is greater.
You may terminate your account at any time by contacting us. We may terminate or suspend your access to the Service immediately, without prior notice, for any reason, including violation of these Terms.
Upon termination, your right to use the Service will cease immediately. We may delete your account and associated data, though we will provide reasonable notice and opportunity to export your data when possible.
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which NotePal Inc. is incorporated, without regard to its conflict of law provisions.
Any disputes arising from these Terms or the use of the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
